By accessing our website or using Baan Agency’s services, you agree to the terms below. Please read them carefully before engaging our services.
1) Services
We provide marketing services including (without limitation) social media management, media buying, lead generation, funnel building, and website creation. The exact scope, deliverables, and timeline are defined in your proposal, agreement, or invoice.
2) Fees & Payment
Unless otherwise agreed in writing, all fees are due in full before work begins. Payments are processed via Stripe (major cards and secure online payments). By submitting payment details, you authorize us to charge the agreed amount.
3) Refunds
Our refund rules are detailed on our Refund & Dispute Policy page. Some services, once started or delivered, are non-refundable.
4) Client Responsibilities
You agree to provide accurate information, timely feedback, and all required assets/approvals. Delays in providing materials may delay delivery; we are not liable for delays caused by missing inputs.
5) Results Disclaimer
Marketing outcomes depend on factors outside our control (market conditions, platforms, competition, audience behavior). We do not guarantee specific results, revenue, or ROI.
6) Intellectual Property
All creative assets, code, designs, and content remain our property until all invoices are paid in full. Upon full payment, ownership of the agreed final deliverables transfers to you. Third-party resources (fonts, stock, plugins) remain subject to their own licenses.
7) Portfolio Rights
Unless you object in writing, we may display non-confidential work produced for you in our portfolio, website, and case studies.
8) Third-Party Services
We may use third-party tools (e.g., ad platforms, analytics, hosting, payment processors). Their availability, pricing, and policies are outside our control and governed by their own terms.
9) Confidentiality
Each party agrees to keep the other’s confidential information private and to use it solely for performing the services.
10) Limitation of Liability
To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential, or punitive damages (including lost profits or data). Our aggregate liability is limited to the fees you paid to us for the service giving rise to the claim.
11) Governing Law
These Terms are governed by the laws of the State of Montana, USA. Any disputes shall be brought in the state or federal courts located in Missoula County, Montana.
12) Changes to These Terms
We may update these Terms & Conditions from time to time. Updates take effect when posted with a revised Effective Date.
